Service

By accessing or using Recall Racoon's website, products, or services ("Services"), you agree to these Terms of Service ("Terms"). If you disagree, do not use the Services.

These Terms apply to all visitors, users, customers, and anyone accessing the Services.

• "Recall Racoon", "we", "us", "our" — Recall Racoon, the service provider.
• "You", "Customer", "User" — The individual or entity using the Services.
• "Services" — Recall Racoon software, APIs, website, documentation, support.
• "Stash" — Your persistent memory layer (data, embeddings, claims, metadata).
• "Rumi" — The intelligence layer that processes incoming information.
• "Content" — Data you submit, ingest, or generate via the Services.

Recall Racoon provides a deterministic cognitive control plane for LLM systems:

• Persistent memory with governed lifecycle (candidate → confirmed → stale → superseded → archived)
• Hybrid semantic search (vector + BM25 + RRF reranking)
• MCP-native protocol (stdio, SSE, HTTP) with 13 tools
• Secret redaction, namespace isolation, audit logging
• Deployment options: Cloud Managed, Private VPC, On-Premise, Air-Gapped

You own your Content. We claim no ownership rights over your Stash, memories, embeddings, or derived data.

• Cloud Managed: We process but do not retain, aggregate, or train on your Content.
• Private/Enterprise: We never access your Content. It never leaves your infrastructure.
• You grant us only the license necessary to provide the Services.
• You are responsible for Content legality, accuracy, and rights.

You agree not to:

• Use Services for illegal activities or to violate laws/regulations
• Ingest content that infringes intellectual property
• Attempt to reverse engineer, decompile, or extract source code
• Circumvent security controls, rate limits, or quota enforcement
• Use Services to build competing products without permission
• Share API keys or credentials with unauthorized parties

Violation may result in immediate suspension or termination.

• Plans: Explore Demo (free), Launch, Team, Business, Private Deployment
• Monthly or annual billing (annual saves 15%)
• Activation fees apply to Launch, Team, Business, Private
• Overage rates published per plan; no silent overages
• Upgrades immediate (prorated); downgrades at cycle end
• Payment via invoice (net-30) or card; PO accepted for Enterprise
• Taxes extra; you're responsible for applicable taxes

• Launch/Team: 14-day trial (full features, no activation fee during trial)
• Cancel anytime; service continues until period end
• No refunds for partial periods (except as required by law)
• Data export available on request (30 days post-cancellation)
• Private Deployment: 6-month minimum commitment

• Launch: Email support, 48h response
• Team: Priority email, 24h response
• Business: 4h critical response, dedicated Slack, 99.9% uptime SLA
• Enterprise: Custom SLA, forward-deployed engineer option
• SLA credits: Per plan terms; not for scheduled maintenance

• Recall Racoon software, branding, documentation: Our IP
• Open-source components: Licensed per their respective licenses
• No license granted to patents, trademarks, trade secrets
• Feedback you provide: We may use freely without obligation

Both parties protect Confidential Information (non-public business, technical, financial data) with at least reasonable care. Exceptions: public knowledge, independent development, legal requirement (with notice). Obligation survives 3 years post-termination.

Services provided "AS IS" and "AS AVAILABLE". We disclaim all warranties: merchantability, fitness for purpose, non-infringement, uninterrupted/error-free. No warranty that Services meet your requirements or that defects will be corrected.

Not for: Medical devices, aviation, nuclear, life-support, or other high-risk uses without separate agreement.

To the maximum extent permitted by law:

• No liability for indirect, incidental, special, consequential, punitive damages
• No liability for data loss, lost profits, business interruption
• Total liability capped at 12 months' fees paid (or $10,000 if less)
• Exclusions don't apply where prohibited by law

You indemnify us from claims arising from: your Content, your use violating Terms, your violation of laws/third-party rights. We indemnify you from IP infringement claims regarding Services (with conditions).

• Terms effective upon acceptance; continue until terminated
• You may terminate with 30 days' written notice
• We may terminate for material breach (30-day cure), non-payment (15-day), illegal use (immediate)
• On termination: license ends, we assist data export (30 days), you pay outstanding fees

Governed by laws of [State/Country], without conflict-of-law principles. Exclusive jurisdiction: [Court]. Before litigation: 30-day good-faith negotiation, then mediation (JAMS/AAA). Prevailing party recovers fees.

• Entire agreement; supersedes prior agreements
• Amendments in writing (email accepted)
• Waiver must be written; no course-of-dealing waiver
• Severability: invalid provisions don't affect rest
• Assignment: You need consent; we can assign to affiliates/acquirers
• Force majeure: Not liable for events beyond control
• Notices: Email to registered address; website banner for general
